You must be at least 16 years of age to use our Services. By using our Services, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are between 16 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Certain features of our Services — including the vendor portal, booth booking, and payment processing — require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms or engaged in fraudulent, abusive, or unlawful activity.

Vendors who register through our portal agree to the following:

• All vendor applications are subject to review and approval at our sole discretion
• Booth assignments, pricing, and availability are determined by Palm Coast Farmers Market management and may change without notice
• Booth fees are non-refundable except as stated in our refund policy or at management's discretion
• Vendors must comply with all applicable local, state, and federal laws, including health and safety regulations, food handling permits, and business licenses
• Vendors are responsible for their own liability insurance and indemnify Palm Coast Farmers Market against claims arising from their products or conduct
• We reserve the right to revoke vendor access for any reason, including but not limited to violation of market rules, customer complaints, or failure to pay fees

All payments are processed securely through Stripe. By submitting payment through our Services, you agree to Stripe's Terms of Service. Your payment card or bank account details are transmitted directly to Stripe and are never stored on our servers.

You agree to pay all fees associated with your use of the Services, including booth booking fees, event registration fees, and any applicable taxes. Fees are due at the time of booking unless otherwise specified. Late payments may incur additional charges.

Refunds are issued at our sole discretion. Requests must be submitted via email to info@palmcoastfarmersmarket.com at least 7 days before the scheduled market date. No refunds will be issued for no-shows or same-day cancellations unless the market is cancelled by management due to weather or other circumstances beyond our control.

You agree not to use our Services to:

• Violate any applicable law, regulation, or ordinance
• Infringe on the intellectual property or other rights of any third party
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems, accounts, or data
• Interfere with or disrupt the operation of our Services
• Submit false, misleading, or fraudulent information
• Use automated systems (bots, scrapers, crawlers) to access or collect data from our Services without our prior written consent
• Harass, threaten, or defame other users, vendors, partners, or staff

We reserve the right to investigate violations and take any action we deem appropriate, including suspending or terminating your access and reporting violations to law enforcement.

All content on our Services — including but not limited to text, graphics, logos, images, photographs, videos, software, and design elements — is owned by or licensed to Palm Coast Farmers Market and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any of our content without our prior written consent, except as necessary for your personal, non-commercial use of our Services.

Vendor Content: By uploading content to our Services (including photos, logos, product descriptions, and business information), you grant Palm Coast Farmers Market a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, display, and distribute that content in connection with our Services, marketing materials, partner communications, media kits, and promotional activities.

Opt-In Methods

You may opt in to receive text messages from Palm Coast Farmers Market through the following methods:

• Creating an account on our vendor portal and providing your phone number
• Checking an opt-in checkbox during event registration or newsletter sign-up
• Texting a keyword to our designated number
• Providing verbal or written consent at a market event

In all cases, opt-in is voluntary and separate from any other agreement. Opt-in checkboxes are unchecked by default.

Message Categories

SMS messages are sent via Twilio. By opting in, you acknowledge that Twilio processes your phone number for message delivery. For more information, review Twilio's Privacy Policy.

By providing your email address through account registration, event sign-up, or newsletter subscription, you consent to receive email communications from Palm Coast Farmers Market, including transactional messages, marketing emails, event announcements, and partner/sponsor offers. You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any email. Transactional emails related to your account, bookings, and payments will continue regardless of your marketing preferences.

By attending or participating in events organized or hosted by Palm Coast Farmers Market (including but not limited to the Village Open-Air Market, Strawberry Festival, Watermelon Festival, and other themed events), you acknowledge and agree that:

• Participation is at your own risk
• Outdoor events are subject to weather conditions and may be modified or cancelled without prior notice
• You may be photographed or recorded, and such images/recordings may be used in our marketing, social media, and promotional materials without compensation
• Palm Coast Farmers Market is not responsible for lost, stolen, or damaged personal property
• Food and beverage vendors are independently operated and responsible for their own food safety compliance

Our Services may contain links to third-party websites, services, or applications that are not owned or controlled by Palm Coast Farmers Market. We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with third-party services are governed by their own terms and policies. We encourage you to review them before engaging.

Our Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

To the maximum extent permitted by applicable law, Palm Coast Farmers Market and its officers, directors, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with:

• Your use of or inability to use our Services
• Any unauthorized access to or alteration of your data or transmissions
• Any conduct or content of any third party on our Services
• Products or services purchased from vendors at our markets or through our platform
• Any errors, omissions, or inaccuracies in our content

In no event shall our total aggregate liability exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

You agree to indemnify, defend, and hold harmless Palm Coast Farmers Market and its officers, directors, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content you submit through the Services.

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your personal information. By using our Services, you consent to the practices described in the Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Flagler County, Florida, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, you agree to first contact us at info@palmcoastfarmersmarket.com and attempt to resolve the dispute informally for at least thirty (30) days.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our Services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Palm Coast Farmers Market regarding your use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
